The Hain Celestial Group, Inc., a natural and organic personal care products company, announced the signing of a letter of intent to acquire TenderCare International Inc., a Wisconsin-based marketer and distributor of chlorine-free and gel-free natural diapers and baby wipes. Under the terms of the agreement, Hain Celestial has agreed to pay $0.45 per share in cash for all shares.
